Commercial Manufacturing Agreement

B2B Packaging Manufacturing Terms of Service

Last Updated: September 27, 2026

1. Intellectual Property & Mutual NDA

All vector dielines, artwork files, brand assets, and proprietary packaging geometry provided by the Client remain the Client's exclusive intellectual property. Shenzhen E-Yue Manufacturer Co., Ltd. enters into a strict non-disclosure agreement (NDA) protecting your custom designs from third-party disclosure or unauthorized resale.

2. Production Tolerances & Color Standards

  • Color Accuracy: Printed batches follow signed golden samples or digital contract proofs, calibrated on our offset presses within ΔE < 1.5.
  • Structural Tolerance: Rigid box outer dimensions are held to a precision tolerance of ±1.0mm.
  • Physical Sampling: A white mockup confirms the structure within 2–3 working days and a printed, finished color sample within 3–5 working days of final artwork approval.

3. International Trade Terms (Incoterms 2020)

Quotations are issued on the trade term you require: FOB Shenzhen Port (Yantian / Shekou deepwater container terminals), EXW (collection at our factory), CFR (freight to your destination port, without insurance), CIF Destination Port or DDP (delivered, duties paid). One trade term applies per quotation.

4. Quotations & Order Confirmation

Quotations issued on this website or by email are invitations to treat, not binding offers. Every quotation is valid for 30 days from the date of issue. A purchase becomes binding only when both parties confirm the Proforma Invoice (PI); the PI then governs the price, quantity, specification, trade term and payment schedule for that order. Prices assume the specification stated in the quotation — changes requested after golden-sample approval may adjust the price and lead time.

5. Samples, Payment & Production Start

  • Sampling: Structural dielines and 3D renderings are free of charge. Where a project carries a physical-sample or setup cost, it is stated in the quotation before you confirm — no charges are added afterwards.
  • Payment terms: Standard terms are T/T bank transfer — 30% deposit to start production, 70% balance against the B/L copy. For orders above US$100,000 we also accept L/C at sight.
  • Production start: Production is scheduled after the deposit is received and the artwork / golden sample is approved, whichever comes later.

6. Custom Production, Pre-Shipment Inspection & Claims

  • Made to order: All boxes are manufactured to the Client's approved dieline, artwork and golden sample. Custom-made goods cannot be returned, exchanged or restocked once production has started.
  • Pre-shipment inspection: Every order is inspected to AQL 2.5 before packing, and photos of the actual production run are shared with the Client before shipment.
  • Quality claims: Claims must be reported in writing — with photos and the order number — promptly upon receipt and before the goods are further processed or resold. Confirmed defects are assessed against the approved golden sample and the tolerances in Section 2, and the remedy (reprint, replacement or credit) is confirmed by both parties in writing before rework begins.

7. Delivery Schedule, Force Majeure & Export Documents

Lead times are stated on each product page and in the PI, counted from artwork approval and receipt of the deposit. Neither party is liable for delays caused by events beyond reasonable control — including natural disasters, fire, flood, epidemics, government restrictions, customs inspection holds, port congestion or strikes. The delivery timeline extends by the duration of such an event, and both parties will notify each other promptly; if a delay becomes commercially unreasonable, either party may cancel the unproduced portion of the order and the deposit for that portion is refunded. Every shipment ships with a full document set: commercial invoice, packing list, B/L or airway bill, certificate of origin — plus FSC and MSDS documents when required.
